1. Who we are

These terms govern the sale of goods through https://drivebotix.com (the “website”) by DriveBotix (“DriveBotix”, “we”, “us”), a company established in Lithuania.

2. Products

We design and supply inertial measurement and attitude reference hardware in the DXN series. Product pages state the specifications held in our product records at the time of publication. Specifications, mechanical drawings and firmware are subject to revision; the datasheet pack issued with your enquiry or order describes the revision you will receive and takes precedence over the website.

Photographs and technical drawings on the website are illustrative. Where a model is listed as “price on request”, no offer is made on the website and pricing is confirmed by written quotation.

3. Orders and contract formation

  1. Adding a product to the basket and completing checkout constitutes an offer to purchase.
  2. An automatic acknowledgement of your order is not acceptance.
  3. The contract is concluded when we confirm the order in writing or dispatch the goods, whichever happens first.
  4. We may decline an order — for example where stock, export-control, payment verification or delivery constraints prevent fulfilment. Any payment taken is then refunded in full.

4. Prices, taxes and payment

Prices are shown in euro (EUR) and, unless stated otherwise, exclude value added tax. Applicable VAT is calculated and displayed at checkout based on your billing details. Business customers within the EU who supply a valid VAT identification number may be invoiced under the reverse-charge mechanism where the conditions for it are met.

Accepted payment methods are shown at checkout. Where payment is made by bank transfer against a proforma invoice, goods are reserved and dispatched once cleared funds are received. Title to the goods passes on full payment.

5. Delivery

Goods are dispatched from Vilnius, Lithuania using tracked courier services (DPD and Venipak). Delivery charges are calculated at checkout from your delivery address and shown before payment.

Dispatch and delivery estimates are indicative and not guaranteed dates. Risk in the goods passes to you on delivery, except where you are a business customer arranging your own carrier, in which case risk passes when the goods are handed to that carrier.

Please inspect deliveries on arrival and tell us within a reasonable period if a parcel arrives damaged or incomplete, keeping the packaging available for inspection.

6. Right of withdrawal (consumers)

If you are a consumer, you may withdraw from a distance contract within 14 days of receiving the goods without giving a reason, in accordance with Lithuanian and EU consumer law. The procedure, exclusions and refund timing are set out in our returns and refunds policy, which forms part of these terms.

This right does not apply to goods manufactured or configured to your individual specification.

7. Warranty and conformity

Goods are supplied with the statutory guarantee of conformity. Consumers have a two-year legal guarantee period under EU law; remedies include repair, replacement, price reduction or termination depending on the circumstances.

Any additional commercial warranty is stated in the documentation supplied with the product. Warranty cover does not extend to damage caused by incorrect supply voltage, mechanical damage, unauthorised modification, exposure beyond the published environmental limits, or use outside the product’s documented purpose.

8. Technical information and suitability

Technical advice, integration support and sample material are provided in good faith to assist your evaluation. You remain responsible for determining whether a product is suitable for your platform, for validating it in your application, and for the safety of the system into which it is integrated.

Our hardware is supplied as a component. It is not sold as a certified safety device, and it must not be relied upon as the sole means of protection in any safety-critical function unless we have agreed that in writing.

9. Liability

Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud, or for any liability that cannot be limited under applicable law, including consumers’ statutory rights.

Subject to the above, and to the extent permitted by law, our total liability arising out of or in connection with a contract is limited to the price paid for the goods concerned, and we are not liable for loss of profit, loss of production, loss of data or other indirect or consequential loss.

10. Intellectual property

All content on the website, including text, technical drawings, documentation and the DriveBotix name and logo, is owned by us or our licensors. You may use it for the purpose of evaluating and using our products; you may not reproduce or redistribute it commercially without written permission.

11. Export and compliance

You agree not to export, re-export or transfer our products in breach of applicable export-control or sanctions rules, and to provide any end-use information we reasonably require to comply with them.

12. Accounts

Where you create an account you are responsible for keeping your credentials confidential and for activity carried out under your account. Tell us promptly if you believe your account has been misused.

13. Complaints and disputes

Please contact us first at info@drivebotix.com so we can resolve the matter directly. Consumers may also refer a dispute to the State Consumer Rights Protection Authority of Lithuania (vvtat.lt) or use the European Commission’s online dispute resolution platform (ec.europa.eu/consumers/odr).

14. Governing law

These terms are governed by the law of the Republic of Lithuania. Consumers keep the protection of the mandatory consumer law of their country of residence. Disputes are subject to the jurisdiction of the competent courts of Lithuania, without prejudice to consumers’ statutory rights.

15. Changes

We may update these terms. The version published when you place your order applies to that order.
